Terms & Conditions

These Terms govern access to and use of the Inner Circle platform, including all websites, applications, creator profiles, subscriptions, bookings, video sessions, content, payments, and related services operated by Inner Circle ("Inner Circle", "we", "us", or "our"). By accessing or using Inner Circle in any way, you agree to be legally bound by these Terms.

1. Platform role

Inner Circle is a technology platform enabling creators to offer sessions, subscriptions, and digital experiences to fans. We act solely as a platform facilitator and payment intermediary. We are not responsible for promises, advice, or services provided by creators.

2. Eligibility

Users must be at least 18 years old to create an account, purchase subscriptions, book sessions, receive payouts, or use any monetisation features. By using Inner Circle you confirm that:

• You are legally capable of entering binding agreements
• All information submitted is accurate
• You are not prohibited from using the platform under applicable laws

We reserve the right to suspend or terminate accounts that provide false information.

3. Creator verification & KYC

All creators must complete identity verification through Lemonade Payments before receiving payouts. Inner Circle reserves the right to:

• Request additional documentation
• Reject or suspend verification
• Freeze creator payouts during compliance reviews
• Permanently remove creators who fail compliance checks

Submission of fraudulent documents may result in immediate termination and reporting to relevant authorities.

4. Creator responsibilities

Creators are solely responsible for the content they publish, advice they provide, sessions they conduct, taxes on their earnings, and compliance with applicable laws. Creators must not:

• Misrepresent qualifications
• Sell illegal products or services
• Engage in scams or deceptive conduct
• Circumvent platform fees
• Request off-platform payments

Any attempt to move transactions outside Inner Circle may result in account suspension and forfeiture of earnings.

5. Fan purchases

Fans may purchase subscriptions, video sessions, group sessions, livestream access, and digital products. Purchases grant access only to the purchased service and do not transfer ownership of any content or intellectual property.

6. Payments

All payments are processed through Lemonade Payments and affiliated financial institutions. Inner Circle does not hold customer funds as a bank or financial institution. All transactions remain subject to payment provider rules, AML regulations, KYC requirements, and applicable financial laws. Inner Circle may delay, reverse, suspend, or refuse payments where fraud, disputes, compliance concerns, or legal obligations exist.

7. Platform fees

Inner Circle deducts platform fees, processing fees, currency conversion fees, chargeback costs, refund costs, and applicable tax obligations from creator earnings. Fee rates are disclosed to creators on approval and may be updated with reasonable notice.

8. Payouts

Creator earnings become eligible for payout only after successful payment settlement, KYC completion, fraud screening, and compliance review. Inner Circle may withhold payouts where fraud is suspected, chargebacks are pending, content violations exist, or regulatory obligations require review. Creators acknowledge that payout timelines are estimates and may vary.

9. Refund policy

Subscriptions — generally non-refundable once access is granted.

Sessions

• More than 24 hours before session: eligible for refund less processing fees
• Less than 24 hours before session: no refund
• Fan no-show: no refund
• Creator no-show: full refund or reschedule at fan's choice

Inner Circle retains sole discretion in dispute resolution.

10. Content ownership

Creators retain ownership of content they upload. By uploading content, creators grant Inner Circle a worldwide, royalty-free licence to host, display, distribute, market, and deliver such content through the platform. This licence remains active for as long as the content exists on the platform.

11. Content protection

Users must not screenshot paid content for redistribution, record sessions without permission, re-upload creator content elsewhere, or share private access links. Violations may result in immediate account termination, permanent bans, legal action, forfeiture of balances, and claims for damages. Inner Circle may watermark content and track unauthorised sharing.

12. Intellectual property

All platform software, branding, trademarks, designs, interfaces, graphics, workflows, and technology belong exclusively to Inner Circle. No user obtains ownership rights in platform technology.

13. Prohibited activities

Users must not harass others, impersonate individuals, commit fraud, manipulate payments, upload malicious software, attempt unauthorised access to platform systems, scrape platform data, deploy bots without authorisation, or circumvent platform fees. Violations result in immediate account suspension.

14. Account termination

Inner Circle may suspend or terminate any account at any time where these terms are violated, fraud is suspected, legal obligations require action, or platform integrity is threatened. Termination may occur without prior notice. Withheld earnings remain subject to compliance review.

15. Disclaimers

Inner Circle makes no guarantee of earnings, audience or subscriber growth, session bookings, business outcomes, platform availability, or uninterrupted service. All services are provided "as is" and "as available" without warranties of any kind.

16. Limitation of liability

To the maximum extent permitted by law, Inner Circle, its founders, directors, employees, contractors, and affiliates shall not be liable for lost profits, lost revenue, loss of data, business interruption, indirect, consequential, or reputational damages. Total liability shall not exceed the greater of USD $100 or the amount paid by the user in the previous 3 months.

17. Indemnification

Users agree to indemnify and hold harmless Inner Circle, Lemonade Payments, affiliated companies, directors, officers, employees, and contractors against all claims, losses, liabilities, damages, costs, and legal fees arising from user conduct, content uploaded, breach of these terms, violation of applicable laws, or creator-fan disputes.

18. Force majeure

Inner Circle shall not be liable for delays or failures caused by events beyond reasonable control, including internet outages, payment processor outages, government actions, regulatory changes, natural disasters, cybersecurity incidents, or telecommunications failures.

19. Governing law

These terms are governed by the laws of the Republic of Kenya.

20. Changes to these terms

Inner Circle may modify these terms at any time. Material changes will be communicated via platform notice. Continued use of the platform following updates constitutes acceptance of the revised terms.
